Terms of Service

These Terms of Service ("Terms") govern your use of NorthBot, a software service operated by Local Search North Ltd ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About the Service

NorthBot ("the Service") is a software-as-a-service platform that helps tradespeople create quotes, generate invoices, manage their business profile, and (optionally) accept card payments via Stripe Connect.

We provide the Service on an "as-is" basis. We may add, modify, or remove features at any time.

2. Eligibility

To use NorthBot, you must:

• Be at least 18 years old
• Use the Service for a legitimate business purpose (running a trade business in the UK)
• Provide accurate, current information when creating your account
• Not be barred from receiving services under UK law

3. Your account

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use
• Ensuring the information you provide remains accurate and up to date

One account per business. You may not share account credentials.

4. Subscription and payments

4.1 Free trial

We offer a 14-day free trial. No payment method is required to start the trial. At the end of the trial, your account will be locked unless you subscribe.

4.2 Subscription fee

NorthBot is £39.99 per month, billed in advance via Stripe. Pricing may change with at least 30 days' notice.

4.3 Billing

• Subscriptions renew automatically each month unless cancelled.
• Payment is taken on the same date each month.
• If payment fails, we will attempt to retry for 7 days. After that, your account will be locked until payment is updated.

4.4 Cancellation

You can cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not offer pro-rated refunds for partial months.

4.5 Refunds

All payments are non-refundable unless required by law.

5. Stripe Connect (optional payment feature)

If you choose to enable card payments on your invoices, you will be onboarded to Stripe Connect:

• Stripe handles all payment processing, KYC verification, and payouts to your bank.
• You enter into a separate agreement with Stripe - their Connected Account Agreement applies.
• We charge a 1% platform fee on each transaction processed through your invoices.
• Stripe's standard processing fees apply (typically 1.5% + 20p for UK cards).
• You are responsible for any chargebacks, refunds, or disputes from your customers.

6. Your content

You retain full ownership of all data you upload or create in NorthBot - your business information, quotes, invoices, customer details, logos, and so on ("Your Content").

You grant us a limited, non-exclusive licence to store, process, and display Your Content solely to provide the Service to you.

You are responsible for ensuring you have the right to upload Your Content and that it does not infringe any third-party rights.

7. Acceptable use

You must not use NorthBot to:

• Break any law or regulation
• Send spam, scam, or fraudulent communications
• Generate misleading or fraudulent invoices
• Infringe anyone's intellectual property or privacy rights
• Attempt to gain unauthorised access to the Service or other users' data
• Reverse engineer, scrape, or copy the Service
• Use the AI assistant to generate harmful, illegal, or abusive content
• Resell or sublicense access to the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these rules.

8. AI assistant disclaimer

NorthBot uses AI to help generate quotes, descriptions, and chat responses. AI-generated content may contain errors. You are responsible for reviewing all AI-generated content before sending it to customers or relying on it for business decisions. We do not warrant the accuracy of AI output.

9. Intellectual property

The NorthBot software, branding, design, and content are owned by Local Search North Ltd and are protected by copyright and other intellectual property laws.

We grant you a non-exclusive, non-transferable, revocable licence to use the Service while your subscription is active.

10. Service availability

We aim for high availability but cannot guarantee the Service will be uninterrupted or error-free. We may need to perform maintenance, which we will try to schedule outside of business hours.

We are not liable for downtime caused by third-party providers (Supabase, Stripe, Netlify, Anthropic), DDoS attacks, or events outside our reasonable control.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

NorthBot is a tool. It does not provide legal, tax, financial, or business advice. You are responsible for ensuring your quotes, invoices, and business practices comply with applicable laws.

12. Limitation of liability

To the maximum extent permitted by law:

• We are not liable for any indirect, consequential, incidental, or special damages, including lost profits, lost data, or business interruption.
• Our total aggregate liability to you for any claim relating to the Service is limited to the amount you have paid us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

13. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, damages, or expenses (including legal fees) arising from:

• Your use of the Service
• Your breach of these Terms
• Your Content
• Your interactions with your customers (including disputes, refunds, and chargebacks)

14. Termination

You may cancel your account at any time. We may suspend or terminate your account if:

• You breach these Terms
• Your payment fails and is not resolved within 7 days
• We are required to by law
• We discontinue the Service (in which case we will provide reasonable notice)

On termination, your right to use the Service ends. We will retain your data in accordance with our Data Retention Policy.

15. Data protection

Our handling of personal data is described in our Privacy Policy. By using the Service, you confirm you have read and agree to that policy.

Where you upload your own customers' personal data into NorthBot, you act as the data controller and we act as a data processor. You must have a lawful basis to process your customers' data and must inform them of how it will be processed.

16. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

17. Governing law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved exclusively in the courts of England and Wales.
